Terms of Service

1. Acceptance of Terms

By accessing or using the Prospect platform ("Service"), operated by Prospect ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

By creating an account or using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

Prospect is a trade intelligence platform that provides tariff calculations, cost simulations, and regulatory information for Mercosur-EU trade. The Service includes tariff lookup tools, landed cost simulators, regulatory databases, and trade agreement reference materials.

Prospect is NOT a customs brokerage, freight forwarder, or licensed trade advisory service. We provide informational tools to assist in trade research and planning.

3. Important Disclaimer — Calculations and Data Accuracy

Data accuracy disclaimer: Tariff rates displayed in the Service are sourced from publicly available databases and may lag behind official sources. Exchange rates are cached and may reflect values up to 4 hours old. Shipping cost estimates are based on baseline rates and do not account for all surcharges, seasonal adjustments, or carrier-specific pricing.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Not share your account with third parties

5. Subscription and Billing Terms

Paid subscriptions are billed through Stripe. By subscribing to a paid plan, you agree to the following:

• Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing cycle.
• Price Changes:We may change subscription prices with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• Free Tier: The free tier is subject to usage limits as described on our pricing page. We reserve the right to modify free-tier limits at any time.

6. Intellectual Property

All content, software, designs, trademarks, and other intellectual property associated with the Service are owned by Prospect or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our express written permission.

You retain ownership of any data you input into the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.

In no event shall our total aggregate liability exceed the amount of subscription fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.

Without limiting the foregoing, we are not liable for any trade decisions made based on information provided through the Service, including but not limited to incorrect tariff classifications, inaccurate duty calculations, or outdated regulatory information.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your reliance on any calculations, data, or information provided by the Service
• Any trade decisions or actions taken based on the Service's output

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our data retention policies.

You may terminate your account at any time by contacting us or through your account settings. Sections 3, 6, 7, 8, and 10 shall survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [TO BE DETERMINED], without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of [TO BE DETERMINED].

11. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify registered users of material changes via email or through the Service. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
